General terms of service

These terms apply to any consulting, agentic architecture, framing, build, integration or run engagement delivered by LeadsFlowAI. They complement and prevail, unless otherwise stipulated in writing, over any other exchanged document.

Each engagement gives rise to a detailed commercial proposal specifying scope, deliverables, timeline and price. Written acceptance of this proposal (signature, email validation or purchase order) constitutes unreserved acceptance of these terms and contract formation.

Services fall mainly into the following categories: • AI Opportunity Mapping — audit, mapping, prioritization, roadmap. • Agentic Operating Blueprint — target architecture, technical blueprint, governance principles, deployment plan. • Build & Run Partner — construction sprints, integrations, operational agents, dashboards, documentation, operations. Exact scope, deliverables and terms are specified in each proposal.

Prices are expressed in euros excluding tax. Unless otherwise stated in the proposal, they are billed as a fixed fee or by person-day. Invoices are payable within 30 days from issue date, by bank transfer. In case of delay, late payment penalties at 3 times the legal interest rate and a fixed recovery indemnity of €40 automatically apply, in accordance with article L441-10 of the French Commercial Code.

LeadsFlowAI commits to: • deliver services according to professional standards and a reinforced best-effort obligation; • mobilize the required skills based on scope (consulting, architecture, build, run); • respect the confidentiality of client data and information; • document deliverables to enable progressive client autonomy.

The client commits to: • provide the information, accesses and contact persons necessary for proper engagement execution; • validate intermediate deliverables within reasonable timeframes; • settle invoices on agreed due dates; • handle deliverables in respect of intellectual property rights.

Methods, models, frameworks and know-how mobilized by LeadsFlowAI (including the Agentic Operating Blueprint) remain its exclusive property. Specific deliverables produced for the client (mappings, blueprints, custom code, documentation) are transferred to the client upon full payment of the corresponding services, within the limits of third-party components (open source, foundation models, SaaS services) that remain subject to their respective licenses.

Each party undertakes to maintain the confidentiality of exchanged information, during the contract duration and for a 5-year period after its termination. A specific confidentiality clause can be signed at client request.

When the engagement involves processing personal data, a GDPR article 28-compliant subcontracting agreement is concluded as a supplement. Services are designed to integrate GDPR and EU AI Act compliance from design — without however constituting a guarantee of eligibility for any label or certification.

LeadsFlowAI's liability is capped, all damages combined, at the amount of services invoiced for the relevant engagement during the last twelve months. It cannot be engaged for indirect damages (loss of operations, loss of opportunity, reputational damage, etc.), nor for the consequences of decisions made by the client based on the deliverables.

Either party may terminate the contract in case of serious breach by the other party, not remedied within 30 days following a formal notice that remained unanswered. Services performed up to the termination date remain due.

These terms are subject to French law. In case of dispute, the parties will endeavor to find an amicable solution. Failing that, and notwithstanding plurality of defendants or warranty claim, exclusive jurisdiction is granted to the Cannes courts.
